1. Acceptance of Terms

By accessing this website, submitting a form, making a payment, or engaging the services of Stasis LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use our website or services.

2. Nature of Services — Not Legal Services

Stasis LLC provides engineering documentation, 3D modeling, concept extraction, technical writing, and patent preparation support services. Our services are strictly technical and administrative in nature.

We expressly do not provide: legal advice of any kind; patent prosecution before the USPTO or any patent office; representation in legal proceedings; opinions on patentability, infringement, or validity; or any services that constitute the practice of law.

Our deliverables — including 3D models, technical specifications, claims drafts, drawings, and written documentation — are technical documents prepared to assist you in working with a licensed patent attorney. They do not constitute legal work product or attorney work product.

You are solely responsible for engaging a licensed patent attorney to review, revise, file, and prosecute any patent application. Stasis LLC is not responsible for any outcome of any patent filing, prosecution, or legal proceeding.

3. No Guarantee of Patent Grant

Stasis LLC makes no representation or warranty that any invention described in our deliverables is patentable, novel, non-obvious, or will result in an issued patent. Patent eligibility is determined solely by the USPTO and applicable courts. We do not guarantee any particular outcome.

4. Payment Terms

All payments are processed through Stripe. By completing a purchase, you agree to pay the full amount listed for your selected service. All sales are final unless otherwise agreed in writing. Refunds are issued at the sole discretion of Stasis LLC and will be considered on a case-by-case basis before work has commenced.

For the IP Monitoring & Strategy Retainer, you may cancel at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused portions of a billing period.

5. Intellectual Property Ownership

Upon receipt of full payment, you own all deliverables created specifically for your project, including 3D models, technical drawings, and written documentation. Stasis LLC retains no rights to your underlying invention concept.

Stasis LLC retains ownership of its proprietary methodologies, templates, tools, and processes used to produce deliverables. General-purpose tools and workflows remain the property of Stasis LLC.

6. Confidentiality

We understand that your invention concept may be sensitive. Stasis LLC treats all client project information as confidential and does not disclose your invention details to third parties without your consent, except as required by law. If you require a formal non-disclosure agreement before sharing details, please request one before submitting any confidential information.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Stasis LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of patent rights, or any damages arising from your reliance on our deliverables without independent legal review.

Our total aggregate liability to you for any claims arising out of or related to our services shall not exceed the total amount you paid to Stasis LLC in the three months preceding the claim.

8. Disclaimer of Warranties

Our services and deliverables are provided "as is" without warranty of any kind, express or implied. We do not warrant that our deliverables will be free of errors, meet any particular standard of quality, or be suitable for any particular legal purpose.

9. Client Responsibilities

You are responsible for providing accurate and complete information about your invention. You represent that you are the rightful inventor or are authorized to act on behalf of the inventor. You agree to engage a licensed patent attorney before filing any patent application. Stasis LLC is not responsible for outcomes resulting from inaccurate information you provide or from filing without proper legal counsel.

10. Governing Law

These Terms are governed by the laws of the State of South Carolina, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Charleston County, South Carolina.

11. Changes to Terms

We reserve the right to update these Terms at any time. Continued use of our services after changes constitutes acceptance of the revised Terms. The date of last revision is shown at the top of this page.
